Based at the company headquarters in Chafford Hundred, the Corporate Compliance
Department focuses on developing the processes, policies and procedures which aim
to ensure that the organisation remains compliant with established guidelines, rules
and regulations which govern business globally. The department works with the organisation
to identify and eliminate possible risks by preventing illegal conduct by providing
the rules and regulations that govern how we do business and also by providing a
framework for our people to work in. These rules and regulations are there to protect
individuals and the company and provide everyone with the right tools to do their
work ethically and legally.
Furthermore, Corporate Compliance not only identifies areas where risk and performance
gaps pose threats to the organisation, but also assist in eliminating these risks
by providing guidance and training to improve employees’ skill base and knowledge.
Corporate compliance thereby empowers ISS staff to also understand the risks and
follow procedures that will help them and the company remain compliant.
To achieve these objectives, the Corporate Compliance Department engages its various
divisions:
- Audit Team (Financial and Operations auditors)
- Risk Management
- Legal Compliance

ISS Marine Academy
Each division has a specific role to play in ensuring compliance,
and collectively they form part of and support the continuous improvement cycle.
The Audit Team
Reporting to the ISS Audit Committee, the internal audit team comprises of the General
Manager – Corporate Compliance, Bharat Khadalia, three financial auditors and five
operations/QA auditors located in ISS offices in Vancouver, Singapore, Kuala Lumpur,
Melbourne, Dubai, London and Portland (USA). The Audit team is responsible for providing
independent and objective assessment of the financial and operational/QA controls
within the Group to executive management and help the organisation accomplish its
objectives by bringing a systematic, disciplined approach to evaluate and improve
the effectiveness of risk management and compliance to the company’s quality management
system and governance processes. The scope of financial auditing within ISS is broad
and may involve topics such as the reliability of financial reporting, deterring
and investigating fraud, safeguarding assets, compliance with laws and regulations
and efficacy of operations.
Legal Compliance
Inchcape Shipping Services has a central Legal Compliance function, headed by Graham
Prayel, which provides support to the Group's operating companies.
The Legal Compliance function provides standard contract terms for the business
to use in its day to day operations and reviews any external contractual terms entered
into by the Group companies, to ensure that the business does not enter into any
Contracts which contain unacceptable risks. The Legal Compliance function works
closely with the Risk Management function to ensure that the terms of the Group’s
insurance cover accurately reflects the contractual risks to the business.
Risk Management
Inchcape Shipping Services has a central Risk Management function, headed by Ian
Tombs, which manages the Group's global insurance programme.
The Risk management function ensures the assessment, prioritisation and appropriate
management of all significant Business Risks in the Group in pursuit of the enhanced
prosperity of the business and acts as a catalyst in the development of a Risk management
culture throughout all levels of management in the business.
ISS Marine Academy (IMA)
The IMA,
headed by Nicole Claase, supports compliance by providing training solutions where
areas for improvement have been identified. The organisation’s risk can often be
reduced by providing employees with the knowledge and skills that will enable them
to identify and manage risks in their immediate work environments and within their
job responsibilities.
Achieving and maintaining compliance can also produce other positive results. These
include: increasing consumer and shareholder confidence, reducing the costs of doing
business, improving relationships with investment bankers, boosting management and
employee morale, increasing profits, and cutting legal and administrative costs.
Compliance and risk management falls not only within the responsibilities of the
Corporate Compliance Department, but is also the responsibility of each ISS employee.
It is imperative that all employees consider the risks to the organisation and to
themselves in their daily tasks and that everyone realises that risk management
is the responsibility of each employee. Together we can reduce the risks.
